The Friends of Ticehurst Constitution 

 

 

NAME OF THE GROUP

       

The name of the group shall be "The Friends of Ticehurst"

FUNCTION AND PURPOSE OF THE FRIENDS OF TICEHURST

       

1. Whever possible, to provide extra financial assistance for Ticehurst Residential and Nursing Homes by means of various fund raising activities.

2. The Friends of Ticehurst fund rising activities will provide much needed entertainment and specialist resources which provide quality of life for individuals who have lost their independence due to their health issues.

MEMBERSHIP

       

Membership of the group will be open to anyone who has an interest in providing additional resources for the benefit and wellbeing of the residents of Ticehurst Residential and Nursing Homes.

1. Management of the group will be by the Friends of Ticehurst Committee. The Committee shall be comprised of three officers; Chairperson, Secretary and Treasurer plus three other members which should include one representative of the Management Staff of the Ticehurst Residential and Nursing Homes.

2. The quorum for a Committee meeting shall be three members of the Committee, plus one.

3. The appointment of any Committee position with voting powers, will be for the period between Annual General Meetings (AGMs).

4. All Committee members shall seek re-election at each AGM.

5. If, for any reason an elected Committee member is unable to fulfil their term of office, the vacancy will be advertised and a temporary appointment may be made at the discretion of the Chairperson, for the remainder of the time left until the next AGM.

6. The Chairperson of the Committee is responsible for calling Committee meetings as and when necessary and shall give reasonable notice to all Committee members.

7. The minutes of the meeting shall be taken by the Secretary and distributed to all Committee members shortly after the meetings.

ANNUAL GENERAL MEETING AND COMMITTEE ELECTION

       

1. The AGM is to take place every January.

2. The date and venue of the AGM will be decided by the current Committee.

3. Members will be given notification of the AGM in the following way:  a) Notice in Residential and Nursing Homes,  b)  eMail from the Secretary.  This will allow sufficient time to be given for motions and nominations to be put before the Committee.

4. If only one person has been nominated for a Committee post, it will be deemed that nobody else was willing to stand and therefore, the nominee will automatically assume the position.  In this situation, no vote will be necessary.

FINANCES

       

1. Any monies raised will only be used for the purposes of The Friends of Ticehurst.

2. A bank account will be opened in the name of The Friends of Ticehurst.

3. Any cheques drawn on the account will be signed by two of three nominated signatures.

4. The financial records of The Friends of Ticehurst will be audited each year.  A financial report will form part of the Treasurer's Report during the AGM.

This Constitution was adopted by a meeting of the members held at Ticehurst Residential and Nursing Homes on Tuesday, 26th April 2016.
